This is an ABA boilerplate form. It is a Contribution Agreement for stock purchases that must be signed in conjuction with an Asset Purchase Agreement. Whenever mutliple shareholders in a private corporation are selling their stock in bulk, this agreement is generally used. It is five pages, in ten point font, with all the necessary provisions and fill in the blanks for names, dates, amounts, etc.
